Corporate Policy: Receipt and Issuance of Legal Notices
1. Purpose
The purpose of this policy is to establish standardized, legally compliant procedures for receiving, recording, reviewing, and responding to official legal notices, lawsuits, subpoenas, and formal grievances served to Noon Theory LLC.
2. Scope
This policy applies to all employees, contractors, and officers of Noon Theory LLC, including all physical corporate offices and remote staff operating in Nebraska.
3. Definitions
A Legal Notice includes, but is not limited to:
- Summons and complaints (lawsuits).
- Subpoenas (requests for documents or testimony).
- Cease and desist letters.
- Formal regulatory, compliance, or tax audit notifications.
- Notices of default or breach of contract.
4. Procedures for Receiving Notices
4.1. Hand Delivery or Process Servers
- Authorized personnel at the reception desk will accept the documents.
- Do not attempt to argue, negotiate, or refuse service.
- Immediately record the date, time, name of the process server, and physical description of the server.
- Forward the documents to the Legal Department within 2 hours.
4.2. Mail or Courier Delivery
- All legal mail must be stamped with the date of receipt.
- Mailroom staff must route all certified mail, registered mail, or overnight courier deliveries (e.g., FedEx, UPS) addressed to executives or the legal team directly to the Legal Department unopened.
4.3. Email or Electronic Service
- Notices received via email must be forwarded immediately to noontheoryllc@gmail.com.
- The recipient must preserve the original email, including headers and attachments.
5. Internal Routing and Logging
- The Legal Department will log every notice into the centralized Legal Notice Database within 24 hours of receipt.
- The log must include: Date received, Sender, Nature of the dispute, Issuing jurisdiction, and Deadline for response.
- The Legal Department will notify the executive team and assign the case to internal or external counsel as required.
7. Confidentiality and Non-Disclosure
Legal notices are highly confidential. Employees must not discuss, copy, or forward notices to unauthorized personnel or external parties (including the media or social platforms) without explicit authorization from the Legal Department.
